These Terms of Use (the "Terms") govern your access to and use of the website operated by Fimex S.A. de C.V. (hereinafter "FIMEX," "we," "us," or "our"), available at fimex.com.mx and any related subdomains (the "Site"). By accessing, browsing, or using the Site in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Notice, which is incorporated herein by reference. If you do not agree with any of these Terms, you must immediately cease using the Site. FIMEX reserves the right to update or modify these Terms at any time, and such changes shall take effect upon publication on the Site.
Fimex S.A. de C.V. is a Mexican company duly incorporated under the laws of the United Mexican States, with registered address at Dr. R. Michel No. 1649, Col. Atlas, C.P. 44870, Guadalajara, Jalisco, México. FIMEX operates as an industrial foundry and machining company engaged in the manufacture, sale, and export of precision steel and brass castings and machined components for global industrial markets. The Site is provided for informational, commercial, and business development purposes related to our products and services.
The Site is intended for use by individuals and entities that are legally capable of entering into binding contracts under the laws of their jurisdiction. By using the Site, you represent and warrant that: (a) you are at least 18 years of age or the age of majority in your jurisdiction; (b) you have the legal authority to enter into these Terms on your behalf or on behalf of any entity you represent; (c) you will use the Site solely for lawful business, informational, or professional purposes; and (d) all information you provide is accurate, complete, and current.

All content, materials, designs, graphics, photographs, videos, logos, trademarks, trade names, text, software, source code, user interfaces, visual interfaces, technical documentation, and any other element displayed on or accessible through the Site (collectively, the "Content") are the exclusive property of Fimex S.A. de C.V. or its licensors, and are protected by Mexican and international copyright, trademark, patent, trade secret, and other intellectual property laws, including but not limited to the Ley Federal del Derecho de Autor, the Ley Federal de Protección a la Propiedad Industrial, and applicable international treaties.
The "FIMEX" name, the Fimex crucible logo (isotipo), and any other Fimex-related trademarks, service marks, trade dress, and trade names are trademarks of Fimex S.A. de C.V., whether registered or unregistered. Nothing on the Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Site without the prior written permission of FIMEX.
You may view, download, and print Content from the Site solely for your personal, non-commercial informational use or for legitimate business purposes related to a current or prospective commercial relationship with FIMEX, provided that you: (i) do not modify the Content; (ii) retain all copyright, trademark, and other proprietary notices; and (iii) do not use the Content in any manner that suggests an association with any product, service, or brand other than FIMEX.
The Site allows you to submit information through various forms, including Request for Quote (RFQ) forms, job applications, and contact forms (collectively, "Submissions"). By making a Submission, you represent and warrant that: (a) the information is accurate, complete, and current; (b) you have the legal right to provide such information; (c) the Submission does not violate any third-party rights, including intellectual property, privacy, or contractual rights; and (d) the Submission does not contain any confidential or proprietary information of any third party unless you are expressly authorized to disclose such information.
FIMEX will treat personal data contained in Submissions in accordance with our Privacy Notice. However, you acknowledge that Submissions are not considered confidential unless expressly marked and acknowledged as such in writing by FIMEX. Technical drawings, specifications, or other documents you submit in connection with a quotation request will be treated as commercially reasonable, but you should not submit any material that requires formal confidentiality agreements unless such an agreement is already in place with FIMEX.
FIMEX reserves the right, but assumes no obligation, to review, edit, or remove any Submission at its sole discretion. FIMEX does not guarantee that it will respond to every Submission or provide quotations for every request. The submission of a quotation request does not create a binding offer or contract; any commercial relationship will be governed by a separate written agreement between the parties.
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, UNINTERRUPTED AVAILABILITY, OR ERROR-FREE OPERATION. FIMEX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM ERRORS, DEFECTS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
Technical specifications, product descriptions, tolerances, capacity ranges, and other information about FIMEX products and services displayed on the Site are provided for general informational purposes only. Actual product capabilities, specifications, delivery times, and terms are subject to formal quotation, engineering review, and written agreement between FIMEX and the customer. FIMEX reserves the right to modify or discontinue any product, service, or specification without prior notice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIMEX, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AGENTS, AFFILIATES, SUBSIDIARIES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FIMEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, FIMEX's liability shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms shall exclude or limit FIMEX's liability for death or personal injury caused by its negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
You agree to indemnify, defend, and hold harmless Fimex S.A. de C.V. and its directors, officers, employees, agents, affiliates, subsidiaries, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any rights of any third party, including intellectual property, privacy, or contractual rights; (d) any Submission you make through the Site; or (e) any fraudulent, negligent, or unlawful activity conducted by you through the Site.
The Site may contain links to third-party websites, resources, or services (such as Google Maps, YouTube, social media platforms, analytics providers, or external articles). FIMEX does not control, endorse, or assume responsibility for any third-party content, products, services, privacy practices, or security measures. Access to and use of third-party websites is at your own risk and subject to the terms and privacy policies of those third parties. The inclusion of any link does not imply endorsement by FIMEX.
FIMEX reserves the right, at its sole discretion and without prior notice, to modify, suspend, discontinue, or restrict access to the Site or any portion thereof, including but not limited to any Content, features, functionalities, or products and services described on the Site. FIMEX shall not be liable to you or any third party for any such modification, suspension, or discontinuation. We may also impose limits on certain features or restrict your access to parts or all of the Site without notice or liability.
FIMEX products and services may be subject to export control laws and regulations, including those of Mexico, the United States of America, the European Union, and other applicable jurisdictions. You agree to comply with all applicable export, re-export, sanctions, and trade compliance laws and regulations, including but not limited to the U.S. Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR) where applicable, and the Office of Foreign Assets Control (OFAC) sanctions programs. You represent and warrant that you are not located in, nor a resident or national of, any country or territory subject to comprehensive sanctions, and that you are not included on any list of restricted or prohibited parties maintained by competent authorities.
Your use of the Site is also governed by our Privacy Notice, which describes how we collect, use, store, and protect personal data. Please review the Privacy Notice carefully to understand our practices. By using the Site, you consent to the collection and processing of your information as described in the Privacy Notice, in compliance with the Mexican Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP), and, where applicable, the California Consumer Privacy Act (CCPA/CPRA) and the European Union General Data Protection Regulation (GDPR). FIMEX shall not be liable for any failure or delay in the performance of its obligations under these Terms or in the operation of the Site to the extent caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, labor disputes, strikes, governmental actions, changes in law or regulation, power or telecommunications failures, internet service provider disruptions, cyberattacks, or other similar events.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The failure of FIMEX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
These Terms, together with the Privacy Notice and any other legal notices or agreements published by FIMEX on the Site, constitute the entire agreement between you and FIMEX concerning your use of the Site, and supersede any prior or contemporaneous communications, agreements, or representations, whether electronic, oral, or written. These Terms do not, however, govern any commercial agreement for the purchase or supply of products or services, which shall be subject to separate written contracts between the parties.
These Terms, their interpretation, performance, and enforcement, as well as any dispute, controversy, claim, or matter arising out of or in connection with these Terms or your use of the Site, shall be governed by and construed in accordance with the laws of the United Mexican States, without regard to its conflict of law principles. You and FIMEX expressly and irrevocably submit to the exclusive jurisdiction of the competent courts of the Metropolitan Area of Guadalajara, Jalisco, México, and waive any other forum or jurisdiction that may correspond by reason of your present or future domicile or for any other reason.
FIMEX products and services are frequently supplied to customers located in the United States of America. If you are a U.S.-based user or customer, the following additional terms apply: (a) any sale of products shall be governed by separate written purchase orders and commercial terms; (b) the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded unless otherwise agreed in writing; (c) disputes arising from product sales shall be resolved through the mechanisms specified in the applicable commercial contract, which may include arbitration or alternative dispute resolution; (d) FIMEX does not collect personal information for sale or cross-context behavioral advertising, in compliance with CCPA/CPRA; and (e) U.S. customers should review the Notice to California Residents section of our Privacy Notice for additional rights and disclosures.

These Terms of Use are made available in both English and Spanish. In the event of any inconsistency between the two language versions, the Spanish version shall prevail for users, customers, or disputes subject to Mexican law.
